The Supervisory Board is one of the key elements of the Bank’s corporate governance. The Supervisory Board carries out strategic governance of the Bank, defines the key risk management principles and approaches, designs the internal control system, supervises the activities of the Bank’s executive bodies and carries other crucial functions.
The Supervisory Board makes decisions related to the Bank’s business within the scope of its authority under Russian law, the Bank’s Articles of Association and the Supervisory Board Regulations. Its meetings are called as provided by the time schedule approved by the Supervisory Board, or as necessary by the Supervisory Board’s Chairman, or as requested by any member of the Supervisory Board, the Bank’s Internal Audit Commission, its Auditor, President, or the Management Board.
Chairman of the Supervisory Board, President of Otkritie FC Bank
Mr. Romaev has been a member of the Supervisory Board since 2013; he is also the Chairman of the Strategy Committee of the Supervisory Board of Otkritie FC Bank. He serves as President of Otkritie FC Bank. Mr. Romaev is member of the Board of Directors of Otkritie Holding.
Mr. Romaev joined Otkritie in 2011. Before that, he was in charge of external borrowings at Sberbank of Russia. In 2008 to 2010, he was the CFO of Otkritie Investment Bank JSC. In 2007 to 2008, he held various positions at KIT Finance Group, up to the CFO of KIT Finance Investment Bank. In 2004 to 2007, Mr. Romaev worked his way from the Head of Corporate Lending to the Head of International Operations at Bank Petrocommerce.

Elena joined Otkritie in February 2012 as Head of Retail Business at Otkritie Bank. In October 2012, she was appointed to chair Otkritie Bank’s Management Board. In December 2012, she moved to NOMOS-BANK to become its Vice-President and yet later, in April 2013, a member ad Deputy Chair of the Management Board. From September 2015 to April 2016, Elena chaired the Management Board of Trust Bank.
Before joining Otkritie, Elena headed Barclays’ retail business, and, from 2007 to 2010, OTP Bank’s sales department. From 2002 to 2007, Elena worked at MDM Bank where she progressed from Front Office Manager to Head of Retail Products.
Elena Graduated from Lomonosov Moscow State University with a major in economics.

Independent Director, Chairman of the Audit Committee and Risk Committee
Mr. Vasiliev has been an independent member of the Supervisory Board since 2013; he also chairs the Audit Committee, Risk Committee, and is a member of the Nomination and Remuneration Committee of the Supervisory Board.
Mr. Vasiliev is a member of the Board of Directors of USRF (the U.S.-Russia Foundation for Economic Advancement and the Rule of Law, Washington, D.C., USA) and a member of the Supervisory Board of RKS-Management OJSC; he also serves as Managing Director of the Institute of Corporate Law and Management, an Autonomous Non-profit Organisation (Moscow, Russia).During his career, he headed the Federal Commission for the Securities Market of Russia, was a top manager at Mosenergo OJSC and a Managing Director at JP Morgan.
He received his degree in Economics from Leningrad Institute of Finance and Economics named after N.A. Voznesensky majoring in National Economy Planning in 1984. In 2007, Mr. Vasiliev graduated from the Chartered Institute for Securities and Investment (London, UK). He has been approved to act as a professional investment consultant on the UK securities market.

In March 2016 Evgeny was appointed Chairman of the Management Board of Otkritie FC Bank. Prior to that, in 2012-2016, Evgeny served as Chairman of the Management Board of Khanti-Mansyisk Otkritie Bank. From 2010 to 2012, he was CEO of Otkritie Brokerage House; in 2007-2010, Managing Director of Otkritie Holding; and earlier, in 2004-2007, Deputy CEO of Otkritie Asset Management.
From 2002 to 2003, Evgeny headed western financial markets with GUTA BANK’s client services in financial markets. Prior to that, he oversaw trading operations at Otkritie Brokerage House for five years and yet earlier, in 1994 to 1997, was active transactions director at Osnovaniye Investment Company.

Mr. Karakhan has been a member of the Supervisory Board of Otkritie FC Bank since 2013.
Alexey joined Otkritie in 2011. Before that, Alexey was Deputy CEO for Strategic Communications with Aton Group. From 2004 to 2009, he headed communications at various companies within Renaissance Group: Renaissance Capital, Renaissance Credit and Renaissance Investment Management. Alexey began his career as a writer with Kommersant newspaper and an editor with GQ.

In 1994-2003, Olga worked for PricewaterhouseCoopers in Moscow and New-York, advising financial companies on taxes and legal matters. She was also a member of the Russian State Duma’s expert committee on tax reform, and served as Head of the Tax Committee at the National Association of Stock Market Traders. In 2003-2005, Olga was Deputy Chairman of IFD Kapital Group’s Managing Board and a member of the Board of Directors . She also held a number of executive positions and was on the Boards of Directors of all of the companies of IFD Kapital Group. Since 2005, Olga has served on the Board of Directors of Bank Petrocommerce. From 2006, she has been CEO of Reserve Invest Holding (Cyprus) Limited. Olga graduated from the Ordzhonikidze State Academy of Management qualifying as an economist-analyst of mathematical and software support for management. She is also a Certified Public Accountant (USA) and studied Business Administration at Utah State University (USA).

Dmitry was promoted to Deputy Head of Capital Markets and Investment Banking at Otkritie Capital in 2010. Between 2006 and 2009, he was the Financial Markets Director of Petrocommerz bank, and before that, in 1997 through 2006, Popkov was with Manufacturing and Construction Bank in a number of positions, including Dealer at debt instruments desk, Head of Domestic Money Market, and Head of Active and Passive Transactions.

A member of the Supervisory Board since 2013, Mr. Stepanov also sits on the Audit and Risk Committees of the Supervisory Board of Otkritie FC Bank.
Mr. Stepanov is President of Central Properties. Throughout his career he worked for Arthur Andersen and Alfa Bank. Later, he served as Deputy Chairman of the Management Board and CFO at Zenit Bank. Since 2002, Stepanov has engaged in real estate projects via his company, Central Properties.
In 1995, he graduated from the National Economy Academy of the Russian Government with major in Finance and Credit. In 1992, he obtained his degree in Computer-Aided Design from Moscow Machines and Tools Engineering University.

Mr. Zelenov has been a member of the Supervisory Board of Otkritie FC Bank since 2009; he is also a member of the Risk Committee and Audit Committee of the Supervisory Board Otkritie FC Bank.
He is the Director of the Financial Institutions Department of State Corporation Bank for Development and Foreign Economic Affairs (Vnesheconombank). Mr. Zelenov is also a member of the Board of Directors at GLOBEX Commercial Bank and Russian Standard Bank, a member of the Supervisory Board of Prominvestbank (Ukraine).
Mr. Zelenov graduated from Moscow Financial Institute majoring in International Economic Relations in 1977. Mr. Zelenov has a professional degree of certified directors awarded by the Institute of Directors (UK).
